Terms & Conditions

‘Frame Five Studios’ (“We”) means Scott Seymour & Daniel Hughes trading as Frame Five Studios and ‘Frame Five’. The Frame Five head office address is: Frederick House, 58 Station Road, Hayling Island, Hampshire, PO11 0EL.

‘Customer(s)’ means the company, firm, person or organisation by whom or on whose behalf an order is placed, or instructions given by any means for work to be done or goods or services supplied by Frame Five Studios.

‘You’ means the customer who places an order with the Company and whose order is accepted by the Company.

‘Contract’ means the Contract for the sale and purchase of Goods and/or Services with You.

‘Services’ means the provision of web design, web development, print design, 3D design and hosting / e-mails.

‘Work’ means any work to be done by the Company whether by way of design, development, maintenance, upkeep or otherwise.

‘Hosting’ means the provision of space on a web server for a customer website and e-mails to be stored and accessed via the internet.

‘Search Engine Optimisation’ is the process of improving or optimising how high up search engines will list rank a website.

Frame Five Studios can supply the customer with web hosting and domain name registration services should the customer require them.

Frame Five Studios are a re-seller of hosting services provided by Fasthosts Internet Ltd.

Although Fasthosts Internet Ltd provide a 99.9% uptime guarantee, in the unlikely event of any of the hosting or email services going temporarily offline or becoming unavailable, Frame Five will not accept any responsibility or be held liable by the customer for any damages or costs including but not limited to loss of earnings or profits or other incidental or consequential damages or associated costs for the customer as a result of any hosting issues or problems.

Frame Five will always aim to fix any hosting problems as quickly as possible.

We provide no guarantee that the hosting service will be uninterrupted, or continuous, that you will be able to access our services at a particular time, that any data transmitted by, or through, us is accurate, error free, virus free, secure, or inoffensive. Frame Five keep back-up copies of your data which are backed up on a daily basis. We cannot, and do not guarantee that any backups will capture all of the data available to us for back up. We are not liable for unauthorized access to, or any corruption, erasure, theft, destruction, alteration or inadvertent disclosure of, data, information or content, transmitted, received, or stored on our system.

We are not responsible for delivery failures caused by the operation of a third party recipient's SPAM filtering software, or if any emails fail to reach the recipients for any reason.

Email accounts are not designed to function as permanent storage. We assume no responsibility for email files that are damaged or inadvertently lost deleted.

If Frame Five Studios cease to carry on business, hosting customers will be given a minimum of four weeks’ notice to find an alternative hosting supplier. The customer will be provided with a copy of their website files on a CD or other storage device. It will then be the responsibility of the customer to seek an alternative supplier of the services required to keep their website online.

Frame Five Studios do not provide any guarantees’ or assurances as to the continued upkeep or maintenance of the services we provide to the customer and will not be bound by any contract to supply goods or services beyond those stated in a written quotation.

All quotations are bound by both the terms stated in this document and additional ‘project specific’ terms and conditions.

Once a website has been built for a customer and the final invoice issued. We reserve the right to stop providing our services at any time for any reason including (but not limited to) maintanience or updates to web content, maintainance of content managements systems. Frame Five Studios will not accept any responsibility or liability for any issues that occur or any damages that arise from our work when taken to a new supplier.

We provide search engine optimisation as a free service on all of the websites we create, we cannot however provide any guarantees or assurance of how ‘high up’ any site will be ranked within internet search engines.

All prices are exclusive of VAT (except where expressly stated), any other duty, tax tariff or charge arising in the UK or elsewhere.

Frame Five Studios reserves the right to vary the price of Work and/or Goods and/or Services to take account of any variation in the cost of labour, materials, professional services, transport, duties, taxes, exchange rates or any costs of whatsoever nature between the date of any contract and corresponding date of delivery or completion of payment.

Frame Five Studios reserves the right to adjust the price of work and / or goods and / or services to take into account changes to work or additions to the work requested by the customer.

Frame Five Studios have the right suspend all web services including hosting if an invoice supplied to the customer is unpaid or overdue for 14 days or more over the due date specified on the pro-forma invoice.

Commencement of work is subject to 50% of the agreed quotation balance being received in advance. The remaining 50% is due within 7days of completion of the project as set out in the associated quote. Deposits are non-refundable except in the unlikely event that Frame Five Studios are unable to complete the work.

The client shall not unreasonably withhold acceptance of, or payment for, the project. Rejection of the completed project or cancellation during its execution will result in forfeiture of the client’s deposit and the possible billing for all labour and expenses to date. Any usage of design elements of the project provided by Frame Five Studios to the client (designs , graphics, logos etc) will result in appropriate legal action.

The client assumes full reproduction rights upon full payment for the completed project.

Frame Five Studios retains the right to use the completed project and any preliminary and additional designs for training purposes and for any advertising, portfolio or marketing purposes.

Frame Five Studios reserve the right to extend the completion / delivery date of the project by the time equivalent of delays due to actions or negligence of the client, failure of equipment, unforeseen illness, or other external factors beyond the control of Frame Five Studios. The timescale may also be extended to allow for changes to the project requested by the client, or to correct any unforeseen problems during the testing phase. The client will be promptly notified of any delays or extensions to the completion date.
